The Supplier shall provide the services of legal adviser(s) equivalent to 1 full time professional who is competent to advice on matters of Spanish law to provide day–to–day legal advice to XXX. Such legal advice shall include:
Pensions Plans / EPSV
a) Responding to requests for legal advice on pensions products
b) Collaboration with and provision of advice to the customer complaints team
c) Supervision of the legal issues relating to the pension plans and EPSV advertising campaigns
d) Conducting all the Legal proceedings for the incorporation, settlement, maintenance and/or dissolution of
the pension plans (employment and associated system)/EPSV
e) Adaptation to the regulations in force at all times
f) Propose the wording/prepare the draft of all the legal documentation and resolutions required for the incorporation, settlement, maintenance and adaptation to the current regulation and/or dissolution of the personal pension plans, also when those resolutions shall be passed by the Board of Directors of General
Shareholders Meeting of the Company.
g) Request to Corporate Secretarial of the Company for issuing any certificate related to pension plans
resolutions in order to communicate them to the supervisory bodies
h) Fulfil legal requirements before Supervisory Bodies except regarding Corporate Secretarial
functions / decisions Insurance Products

Il Fornitore provvederà ai servizi di consulenza legale equivalente ad un professionista a tempo pieno che
sarà competente in giurisprudenza spagnola e potrà fornire consulenza, quotidianamente, alla XXX.
Questa consulenza legale includerà:
Piani Pensioni / EPSV
a) Rispondendo ai quesiti legali sui prodotti pensionistici
b) Collaborando e fornendo consulenza al team che gestisce le denunce della clientela
c) Supervisionando le questioni legali legate ai piani pensione e alle campagne pubblicitarie EPSV
d) Conducendo tutti i procedimenti legali per la costituzione, l’impostazione, il mantenimento e/o la
dissoluzione dei piani pensione (rapporti di lavoro e sistemi associati)/EPSV
e) Adattamento ai regolamenti in vigore in qual si voglia occasione
f) Proponendo la formulazione / la preparazione della bozza di tutta la documentazione legale e le soluzioni
richieste per la costituzione, l’impostazione, il mantenimento e l’adattamento delle regole attualmente in
vigore e/o la dissoluzione dei piani pensione personali, anche quando questi saranno approvati dal Consiglio
di Amministrazione nell’Assemblea Ordinaria della Società
g) Richiesta alla Segreteria (Company Secretary) dell’azienda per emettere certificati riguardanti delibere di
piani pensionistici al solo scopo di comunicarle agli Organismi di Vigilanza.
h) Incontrando prima le esigenze legali degli Organismi di Vigilanza tranne se riguardano funzioni /
decisioni della Segreteria collegiale.
