English to Chinese: Intellectual Property Transfer
Source text - English EFG must indicate its intention to exercise the Option by notifying ABC in writing within sixty (60) days of disclosure of the subject Intellectual Property to EFG, or as may be extended in writing by mutual consent of the parties (the “Option Period”), failing which ABC or its assignee(s) may offer licenses to the Intellectual Property to third parties without further obligation to EFG. Unless otherwise agreed to in writing by the Parties, ABC shall be under no obligation to file, prosecute or maintain patents related to the Intellectual Property during the Option Period or the Execution Period (as defined). For clarity, ABC shall not disclose any ABC Background Intellectual Property to third parties during the Option Period.
