1. The Fair Value will be determined by the Board of Directors of the Company or XXXXX by Board Supermajority with the approval of at least one Director nominated by each Shareholder.
2. If the Directors do not agree on the Fair Value within a period of [thirty (30)] Business Days as from the relevant date on which the Fair Value process is initiated, the Fair Value will be determined as follows by independent investment banks or specialist investment firms (the "Valuation Experts"):
a. Each of XXXXXX and XXXXXX Group shall appoint one (1) Valuation Expert within a period of five (5) Business Days as from the end of the [thirty (30)] Business Days referred to above, which shall each determine a fair value within further [thirty (30)] Business Days
Translation - Spanish VALOR RAZONABLE
1. El Valor Razonable será determinado por el Directorio de la Sociedad o XXXXX por Supermayoría del Directorio, con la aprobación de al menos un Director nominado por cada Accionista.
2. Si los Directores no llegan a un acuerdo respecto del Valor Razonable dentro de un plazo de [treinta (30)] Días Hábiles a partir de la fecha en que se inicia el proceso de determinación del Valor Razonable, éste será determinado por bancos de inversión independientes o firmas especializadas en inversiones (los "Expertos en Valoración") de las siguiente manera:
a. Dentro de un plazo de cinco (5) Días Hábiles a partir del término del plazo de [treinta (30)] Días Hábiles mencionado anteriormente, XXXXXX y el Grupo XXXXXX nombrarán, por separado, un (1) Experto en Valoración, y cada uno de tales expertos determinará un valor razonable dentro de otros [treinta (30)] Días Hábiles.
