Source text - Spanish Este contrato y sus anexos, así como todos aquellos datos, registros, tarifas, planos, estudios, proyectos, conocimientos, fotografías, fotocopias y demás información, que estén relacionados directa o indirectamente con el objeto del contrato y que sean transmitidos por las partes o sus filiales ya sea de manera escrita, por medios magnéticos o electrónicos, o de cualquier otra forma durante la vigencia del presente contrato, será tratada con absoluta confidencialidad, siempre que dicha información presente a la vista, sobre la misma o sobre la presentación exterior que contenga, el enunciado “CONFIDENCIAL”; por lo que las partes se obligan a no divulgar el contenido del presente contrato y sus anexos ni de las negociaciones respecto de la presentación de los servicios sin la autorización previa y por escrito de la otra parte, según corresponda, salvo que dicha información sea requerida por cualquier autoridad, ya sea administrativa o judicial, o bien sea del dominio público, o que las partes hayan obtenido la información de un tercero ajeno al contrato. Asimismo, las partes convienen en que la obligación de confidencialidad a que se refiere esta cláusula continuará en vigor por un plazo de 2 (dos) años a partir de la fecha de terminación del presente contrato y sus anexos.
Translation - English This contract and the exhibits hereto, as well as all data, records, rates, plans, studies, projects, know-how, photos, photocopies and any and all other information that may be related directly or indirectly to the subject matter of this contract and which may be transmitted by the parties or their affiliates either in writing, by magnetic or electronic media, or in any other manner during the life of this contract shall be treated with the utmost confidentiality, as long as said information clearly reads in plain view upon it or on the exterior covering that may contain it, the word “CONFIDENTIAL;” therefore the parties are bound to not reveal the contents of this contract and its exhibits nor the negotiations regarding the rendering of the services without prior written authorization from the other party, as applicable, except if said information is required by any administrative or judicial authority, or else is in the public domain, or if the parties have obtained the information from a third party outside the contract. Also, the parties agree that the confidentiality obligation referred to in this clause shall remain in effect for a period of 2 (two) years as of the date of termination of this agreement and its exhibits.
